Jeff Bezos intends to offload approximately 15 million Amazon $AMZN shares, according to a new filing, a stake worth about $4.07 billion.
The filing submitted to the Securities and Exchange Commission on Monday disclosed that the planned sale falls under a Rule 10b5-1 trading plan Bezos adopted on Nov. 14, 2025, and that the transactions occurred on Monday through Morgan Stanley $MS Smith Barney LLC. The aggregate market value of approximately $4.07 billion was based on Monday's closing price of $284.02. According to the filing, Bezos received the shares as founder stock when he established the company on July 5, 1994.
Amazon shares dropped more than 2% when markets opened Tuesday in the wake of the disclosure.
The sale comes after Amazon stock touched a record high on Monday, extending a rally that began after the company reported second-quarter results last week. Amazon posted second-quarter revenue of $200.61 billion and earnings of $5.75 per share. Amazon stock has climbed about 20% since the earnings report, and is up roughly 25% year to date — more than double the S&P 500's 11% gain.
The quarterly results pushed Amazon's market value above $3 trillion. Outperformance in the cloud division was the primary driver of the earnings beat, which CNBC reports bolstered confidence among investors that Amazon's bet on artificial intelligence is paying off. For the third quarter, Amazon forecast revenue of between $197 billion and $202 billion and operating income of between $22.5 billion and $26.5 billion, compared with $17.4 billion in the same period last year.
Measured against Amazon's total share count of more than 10.78 billion, the planned sale amounts to a modest slice of the company's equity, according to Benzinga. Separately, the Form 144 indicated that Bezos had not sold any Amazon securities in the three months before the filing. The filing also disclosed that Bezos transferred 220,200 shares to nonprofit organizations in May; those organizations may have since sold the shares.
Bezos has raised $10 billion in outside funding for Blue Origin, his space company, at a pre-money valuation of $130 billion, with $2 billion of that coming from Bezos personally.
